1. Description of the AI Assistant
WoodWing makes available to the Client (as part of the Ultimate package of WoodWing Cloud) an AI-powered assistant feature integrated within the Digital editor of WoodWing Studio (the "AI Assistant"). The AI Assistant enables users to optimize articles through predefined AI-powered actions, including revising tone, adjusting text length, and generating titles. These terms form an integral part of the Software Order Form and set out the terms and conditions governing the use of the AI Assistant.
2. Annual Allowance and Overage Charges
2.1. The AI Assistant is available to the Client as part of the Ultimate package of WoodWing Cloud or as a separate add-on, subject to the applicable pricing and usage limits.
2.2. The AI Assistant includes an annual allowance of twenty-four thousand (24,000) AI prompts per calendar year per Studio server instance (the “Annual Allowance”). If the Client’s usage exceeds the Annual Allowance, WoodWing may invoice the Client for additional charges ("Overage Charges"). Overage Charges are calculated per bundle of two thousand (2,000) prompts at the rate specified in the Software Order Form pricing table or the current WoodWing Price List. WoodWing may invoice Overage Charges to the Client monthly, quarterly, or annually at its discretion.
2.3. WoodWing shall use reasonable efforts to notify the Client when the Client’s usage is approaching the Annual Allowance. Such notification is provided as a courtesy and failure to provide it shall not relieve the Client of its payment obligations in respect of any Overage Charges incurred.
2.4. If the Client exhausts the Annual Allowance and, in WoodWing’s reasonable opinion, the Client’s usage is likely to continue or increase, WoodWing may require advance payment for additional prompt bundles before continued access is granted. WoodWing reserves the right to suspend the Client’s access to the AI Assistant until the applicable fees have been paid.
3. AI Technology and Third-Party Services
3.1. The AI Assistant is powered by Anthropic's Claude large language model and operates within the Amazon Web Services ("AWS") infrastructure hosting the Client’s Studio environment. Access to the AI Assistant is subject to activation by WoodWing Client Success upon the Client's request. WoodWing shall configure the Client's Studio environment and enable the AI Assistant panel accordingly.
3.2. The Client acknowledges that the AI Assistant is powered by Anthropic's Claude and that the Client's use of the AI Assistant is subject to Anthropic's applicable terms and policies, including Anthropic's Acceptable Use Policy (available at https://www.anthropic.com/policies/aup) & Anthropic's Usage Policy (available at https://www.anthropic.com/policies/usage-policy) and any additional terms, conditions, or policies published by Anthropic that are applicable to the use of Claude or Claude-powered tools (collectively, the "Anthropic Terms").
3.3. The AI Assistant is provided on an "as is" and "as available" basis. The Client acknowledges and agrees that the AI Assistant is a tool powered by third-party artificial intelligence technology (Anthropic's Claude) and that, by its nature, the outputs generated by the AI Assistant may be inaccurate, incomplete, or otherwise unsuitable for the Client's purposes.
4. AI Assistant Usage and Responsibility
4.1. To the fullest extent permitted by applicable law, WoodWing shall not be liable for any loss, damage, cost, expense, or liability arising out of or in connection with:
(a) the Client's or any End User's use of, or reliance upon, the AI Assistant or any output generated by the AI Assistant;
(b) any inaccuracy, error, omission, or inadequacy in any output generated by the AI Assistant;
(c) any unavailability, interruption, or degradation in the performance of the AI Assistant; or
(d) any use of the AI Assistant that is not in compliance with the MSA, the Software Order Form, or Anthropic's applicable terms.
4.2. The Client assumes sole responsibility for the results obtained from the use of the AI Assistant and for any conclusions drawn from such use.
